Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "your") and SAAM Capital LLC, a North Carolina limited liability company ("SAAM Capital," "we," "us," or "our"). They apply to the SAAM Capital website at saamcapital.com (the "Site"), our emails, and our membership services (together, the "Services").

By using the Site, creating an account, signing up for our emails, or starting a membership, you agree to these Terms, our Privacy Policy, and our Investment Disclaimer. If you do not agree, please do not use the Services.

2. Eligibility

You must be at least 18 years old, and able to enter a binding contract, to create an account or buy a membership. The Services are published from the United States. If you use them from another country, you are responsible for following your local laws.

3. Description of Services

SAAM Capital publishes investment research, market analysis, and educational content. Reading a post in full requires an account. A free account gives access to selected content; the rest is available through the following paid membership tiers:

We may add, change, or retire content, features, and publishing schedules over time. We do not promise a set number of posts in any period.

4. Not Investment Advice

All content published by SAAM Capital, including articles, market recaps, stock analyses, options commentary, trade setups, charts, and emails, is provided for informational and educational purposes only.

4.1 No advice or recommendation. Nothing in the Services is financial, investment, trading, tax, or legal advice, or a recommendation or solicitation to buy, sell, or hold any security or other financial instrument.

4.2 General, impersonal research. SAAM Capital is a publisher. We are not a registered investment adviser, broker-dealer, or financial planner. Our research is general in nature, is published to all readers of a tier at the same time, and is not tailored to any person's financial situation, objectives, or risk tolerance. We do not give individual investment advice, including in replies to emails or contact form messages. No adviser-client or fiduciary relationship is created by your use of the Services.

4.3 Positions and conflicts. The author and SAAM Capital may hold, buy, or sell positions in securities discussed in our content, before or after publication, and without notice. We do not accept payment from the companies we write about in exchange for coverage.

4.4 Risk. Investing involves risk, including the possible loss of everything you invest. Options are complex, can lose their entire value quickly, and are not suitable for every investor. Before trading options, read the Options Clearing Corporation's Characteristics and Risks of Standardized Options. Past performance does not indicate future results. Trade setups, price targets, and examples are illustrations of an idea, not a record of actual results, and they are not updated after publication unless we say so.

4.5 Your decisions. You alone are responsible for your investment decisions. Do your own research and consult a qualified, licensed financial adviser before acting on anything you read here.

5. Subscription and Billing

5.1 Subscription Plans. Access to premium content requires a paid subscription, billed monthly or yearly as you choose at checkout. Prices are shown in US dollars on the Pricing page and at checkout. Applicable taxes may be added.

5.2 Free Trial. New subscribers receive a 7-day free trial of the plan they choose. A valid payment method is required to start the trial, but you will not be charged during it. Unless you cancel before the trial ends, your subscription begins automatically and the first payment for your selected plan and billing period is taken on the day the trial ends. Each person is entitled to one free trial; we may decline a further trial where we reasonably believe one has already been used.

5.3 Automatic Renewal. Your subscription renews automatically. By subscribing, you authorise SAAM Capital to charge your payment method, through Stripe, at the start of each monthly or yearly billing period, at the price then in effect for your plan, until you cancel. Yearly plans renew for a further full year at the yearly price.

5.4 Changing Plans. You may upgrade or downgrade your plan at any time from your Account page. During a free trial, a change takes effect immediately and the trial continues to its original end date. After the trial, the price difference for the rest of the current billing period is calculated pro rata and applied to your next invoice.

5.5 Cancellation. You may cancel at any time, online, from your Account page. Cancelling during a free trial means you will not be charged; your access ends when the trial ends. Otherwise, cancellation takes effect at the end of the current billing period and you keep access until then. No partial refunds are issued for unused portions of a billing period.

5.6 Refunds. All sales are final. SAAM Capital does not offer refunds except where required by applicable law.

5.7 Failed Payments. If a payment fails, we or Stripe may retry it and ask you to update your payment method. If payment is not received, we may suspend or end your paid access.

5.8 Price Changes. We may change subscription prices. We will give you at least 30 days' notice by email. A new price applies from your next renewal after the notice period; it does not change a billing period you have already paid for. If you do not accept the new price, you may cancel before it takes effect.

6. User Accounts

6.1 Registration. To read our research in full, you must create an account. A free account needs only an email address; subscription content also requires a paid membership. You agree to provide accurate, current, and complete information and to keep it up to date.

6.2 Account Security. You sign in with a one-time link sent to your email, or with your Google account. You are responsible for keeping that email inbox and Google account secure, and for all activity under your SAAM Capital account. Tell us immediately if you believe someone else has used your account.

6.3 One Account Per Person. Accounts are for individual use only. Sharing access to your account with others is prohibited and may result in termination of your subscription without refund.

7. Intellectual Property

All content in the Services, including articles, analyses, charts, graphics, logos, and design, is owned by SAAM Capital or its licensors and is protected by copyright and other intellectual property laws. We grant you a limited, personal, non-transferable, non-commercial licence to read the content your membership includes. You may save or print an article for your own reference, provided you keep any copyright notices. You may not otherwise reproduce, distribute, republish, sell, or create derivative works from our content without our written permission.

8. Prohibited Conduct

You agree not to:

• share, forward in bulk, redistribute, or resell subscription content;
• scrape, crawl, or extract content using automated tools, or use our content to train or build artificial intelligence or machine learning systems;
• attempt to gain unauthorised access to any part of the Site, its systems, or content outside your membership tier;
• interfere with or disrupt the Site;
• impersonate any person, or give false account information; or
• use the Services for any unlawful purpose.

9. Suspension and Termination

We may suspend or end your account or membership if you breach these Terms, if we reasonably suspect fraud or misuse, or if your payment fails. If we end your membership because of your breach, you are not entitled to a refund. We may also discontinue the Services, in whole or in part, at any time. If we discontinue a paid membership for reasons other than your breach, we will refund the unused part of the period you have paid for. Sections 4, 7, and 10 to 15 continue to apply after your membership ends.

10. Third-Party Data and Services

Our content uses market data, prices, and information from third-party sources that we believe to be reliable but do not independently verify. Figures may be delayed, incomplete, or incorrect, and are current only as of the date shown. The Site may link to third-party websites and relies on third-party services such as Stripe and Google. We are not responsible for third-party content, websites, or services.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available." To the fullest extent permitted by law, SAAM Capital disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that our content is accurate, complete, or current, that any analysis or strategy will be profitable, or that the Site will be uninterrupted, secure, or free of errors.

12. Limitation of Liability

To the fullest extent permitted by law:

• SAAM Capital, its owner, and its affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading or investment losses, lost profits, or lost data, arising from or related to the Services, even if we have been told such losses are possible; and
• our total liability for all claims arising from or related to the Services is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) US $100.

Some jurisdictions do not allow certain limits on liability, so some of these limits may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

13. Indemnification

You agree to indemnify and hold harmless SAAM Capital, its owner, and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws rules. Before filing a claim, you agree to contact us at admin@saamcapital.com and give us 30 days to try to resolve the matter informally. Any legal action arising from or related to these Terms or the Services must be brought in the state or federal courts located in North Carolina, and you and SAAM Capital consent to the jurisdiction of those courts. This does not remove any consumer protection rights you have under the mandatory laws of the place where you live.

15. General

15.1 Changes to these Terms. We may update these Terms. We will post the new version here with a new "Last Updated" date, and we will email members about material changes. Changes apply from the date they are posted, or for material changes, from the date given in our notice. Your continued use of the Services after that date means you accept the updated Terms.

15.2 Electronic communications. You agree that we may send you notices about your account and these Terms by email, and that those notices satisfy any legal requirement that a communication be in writing.

15.3 Entire agreement. These Terms, the Privacy Policy, and the Investment Disclaimer are the entire agreement between you and SAAM Capital about the Services.

15.4 Severability and waiver. If any part of these Terms is found to be unenforceable, the rest remains in effect. If we do not enforce a provision, that is not a waiver of our right to do so later.

15.5 Assignment. You may not transfer your rights under these Terms. We may transfer ours as part of a merger, sale, or reorganisation of the business.
